Auto-Renewal and Membership Agreement Information

Your Acceptance. By becoming a member of Elite Dental Alliance ("ELITE") and using the ELITE website, you agree to be bound by this Member Agreement and to the Elite Dental Alliance Privacy Policy (the "Privacy Policy"), and agree that you are responsible for compliance with all applicable laws. If you do not agree with any of these terms, you will not be able to use or access this website or use the Service (see “Service” described below). This Member Agreement applies to all members of ELITE.
Service. ELITE negotiates discounts and prices on dental supplies, equipment, and other products and services from vendors in the dental industry. Members have access to ELITE’s negotiated discounts and prices for Member’s purchases with such vendors. It is understood and agreed that ELITE does not advise on, or negotiate, a Member’s specific purchase from vendors as it is solely the Member’s decision which vendor the Member shall purchase from.

If you do not agree with any of these terms, you will not be able to use or access this website or use the Service (see “Service” described below). This Member Agreement applies to all members of ELITE.
Service. ELITE negotiates discounts and prices on dental supplies, equipment, and other products and services from vendors in the dental industry. Members have access to ELITE’s negotiated discounts and prices for Member’s purchases with such vendors. It is understood and agreed that ELITE does not advise on, or negotiate, a Member’s specific purchase from vendors as it is solely the Member’s decision which vendor the Member shall purchase from.
Registration and Accounts. In order to access the features of the Service, a Member must first complete a registration form providing contact information such as name, email address, mailing address and phone number in addition to relevant practice informat
me, email address, mailing address and phone number in addition to relevant practice information. This information may be used to contact Members about products and/or services on the Site in which they may have expressed interest. Members are solely responsible for the activity that occurs in their account and must immediately notify ELITE of any breach of security or unauthorized use of their account. A member must also provide credit card information which is kept confidential and not disclosed or shared except to companies necessary to perform the activities required to process the applicable payments.
Membership.
Payment. You agree to pay, by providing your credit card information to ELITE, a recurring membership fee according to the fee listed on the current version of the Member Application. This includes adherence to any and all coupon codes or promotion codes that are applicable at the time. Renewal payments will occur by the same payment method and will occur on the anniversary date of each membership unless cancelled your membership. Each paid-in-full membership fee payment (initial or recurring) grants Members access to the Service for a term of one (1) year unless the function of a promotion or coupon code supersedes that “typical” transaction.
Renewal. Your membership will be automatically renewed after each billable period using the credit card information provided unless ELITE receives a cancellation notification via email tomembers@elitedentalalliance.com. Once the cancellation email is received by ELITE, it will be confirmed via the email address provided on the membership application. The day the cancellation confirmation is sent from ELITE will be considered the effective date of the membership cancellation and no further recurring payments will be charged.

Fee Changes. The membership fee described in section IV.A may change at any time. Any changes in the membership fee will be effective on each Member’s next payment date.
Cancellation. If a renewal payment is not paid-in-full within 5 business days of the due date, access to the Service will be cancelled and the membership will no longer be active. Once the membership is no longer active, the Member will not be entitled to receive the discounts and benefits that have been negotiated by ELITE. These discounts and benefits are reserved solely for the active membership of ELITE and upon cancellation, all vendors will be notified.
Assignability. Memberships are not transferable or assignable.
Limitation of Liability.
No Warranties. ELITE DISCLAIMS AND MEMBER WAIVES ALL EXPRESS AND IMPLIED WARRANTIES regarding any and all services or materials provided under the terms of this Member Agreement, including, but not limited to, warranties of merchantability, fitness for a particular purpose, and non-infringement, and any warranties arising from a course of dealing, usage, or trade practice.
Hold Harmless and Release. ELITE’s services are limited to the negotiation of prices and discounts as stated in paragraph II above. As such, Member agrees in consideration for the access and opportunity to purchase goods and services at ELITE’s negotiated terms, that MEMBER HOLDS HARMLESS AND RELEASES ELITE AND ITS EMPLOYEES, OWNERS, AND RELATED COMPANIES FROM ALL CLAIMS, LOSSES AND DAMAGES ARISING FROM MEMBER’S VENDOR PURCHASES REGARDLESS OF THE REASON, CLAIM, OR THEORY OF LIABILITY (including and without limitation, damages for loss of data or profit, business interruption, consequential, consumer or exemplary damages) arising out of the use or inability to use the materials on ELITE website, even if ELITE or an ELITE authorized representative has been notified orally or in writing of the possibility of such damage.
Mediation, Arbitration and Governing Law. Any claim or controversy arising out of or relating to ELITE’s Member Agreement or Privacy Policy, or alleged breached thereof, relating to ELITE, ELITE’s website or services, or any of ELITE’s Related entities, shall be adjudicated by a sole, neutral arbitrator appointed as provided by the American Arbitration Association (AAA) Commercial Arbitration Rules. Arbitration shall be administered by AAA in accordance with its Commercial Arbitration Rules, and judgment on the award rendered may be entered in any state or federal court located in Dallas, County in the State of Texas. Each party shall bear its own costs and expenses and an equal share of the arbitrator’s fees and administrator’s expenses. ELITE and Member agree that the location of the arbitration shall be Dallas, Texas, USA; and, ELITE’s Member Agreement and Privacy Policy shall be governed by and in accordance with the substantive and procedural law of the State of Texas without regard to its conflict of law provisions. Prior to commencing arbitration, either ELITE or Member may request in writing non-binding mediation as to any dispute, allegation or claim relating to this agreement. In order for mediation to occur, the party that does not make the request must agree to such non-binding mediation within 10 business days of receiving the written request. The agreed non-binding mediation shall occur in Dallas, TX using a mediator both parties agree to with costs of mediation and attorney fees, if any, split equally by both ELITE and Member. Arbitration as described above is still available for any disputes or claims that are not resolved through non-binding mediation.
Membership Fee Refund Policy
Membership Sales. All sales are final.
Refund. ELITE is not obligated to refund any portion of the fee at any time unless ELITE determines to cancel a Member’s access. ELITE reserves the right to refuse or cancel access to the Service to anyone at any time. In the event that ELITE determines to cancel a Member’s access to the Service against the Member’s wishes, ELITE will issue a refund to in the amount equal to the pro-rata share of the most recently paid membership fee. In the event that ELITE winds down and ceases business activities, no refunds of any kind will be distributed.
Access. The membership fee grants you access to the Service. You may choose to cancel the Service at any time by sending an email to:members@elitedentalalliance.com and any recurring billing will be stopped. ELITE reserves the right to discontinue any aspect of the Service to any Member at any time and for any reason.
General Use. ELITE grants the Member permission to access and use the Service as set forth in this Member Agreement, on the condition that:
Policies. The Member follow all policies made available with the Service, and agrees not to alter or modify any part of the website. Members may use the Service only as permitted by law.
Accurate Information. Member agrees that all information provided in the member application is current, complete and accurate.
No Guarantee. Other than what is specifically described in the Service, Member agrees that ELITE does not guarantee any specific terms and conditions in any contract or arrangement and does not promise or guarantee any specific outcomes. ELITE is neither a supplier nor merchant of products or services offered under the agreements.
Administration Fees. There are no minimum purchase quantities to participate in the ELITE membership. To help manage overhead and administrative expenses, ELITE is sometimes paid by contracted vendors an administrative fee based on ELITE member purchases. The method of this calculation and amount of the administrative fee varies by vendor, and if the administrative fee exceeds three percent (3%) of member purchases, it will be set forth as specified in section VIII.E of this agreement. In some cases, ELITE may continue to receive payments from vendors based on the ex-member purchases.
Appendix A. ELITE may receive administrative fees in excess of three percent (3%) of member purchases from certain vendors and the method of calculation of the administrative fee varies by vendor. The vendors listed on Appendix A of this Agreement have an agreement with ELITE that includes an administrative fee that could be greater than three percent (3%) of member purchasers, but will not exceed fifty percent (50%) of member purchases.
Premium Partner. Certain vendors have, in some cases, given consideration or paid a marketing allowance to ELITE in exchange for greater visibility or positioning on the Site and/or in ELITE marketing materials. These vendors may be referred to or described as “Premium Partners”. Member understands and agrees that the term “Premium Partner” does not represent ELITE’s recommendation or endorsement for any “Premium Partner” in preference to any other vendor on the Site or listed in marketing materials.
Non-Personal Information. ELITE may collect non-personal identification information about Members whenever Members interact with the ELITE website. Non-personal identification information may include the browser name, the type of computer and technical information about the means of connection to the Site, such as the operating system and the Internet service providers utilized and other similar information.
Web Browser Cookies and Similar Technologies. Various technologies such as cookies are used to collect and store information when Members interact with some services ELITE offers. Cookies are very small text files that are stored on the computer when some websites are visited. ELITE uses cookies to help identify Members computers so we can tailor the experience. Members can disable any cookies already stored on your computer, but these may stop the Site from functioning properly.
Advertising. Ads appearing on the ELITE Site may be delivered by advertising partners who may set cookies. These cookies allow the ad server to recognize the computer each time they send an online advertisement to compile non personal identification information about those who use the computer. This information allows ad networks to deliver targeted advertisements that they believe will be of most interest to you. This Member Agreement does not cover the use of cookies by any advertisers.
Vendor Representations. All representations on the site relating to member discounts and/or benefits have been approved and confirmed by ELITE. Any additional content on the site regarding a vendor’s particular fitness, ability, or quality is, in many cases, provided by the vendor as an advertising vehicle. ELITE makes no warranties or representations regarding the accuracy of these statements.
Use of Content.
Marks. Trademarks, service marks and logos may be subject to copyright and other intellectual property rights under the law.
Collected Information. We use collected information to provide, develop and improve services in order to tailor content for the benefit of Members.
Content. Content on the ELITE website is provided “as is”. Members may access content for their information and personal and non-commercial use. Members may not:

Modify, download or copy the materials;

Use the materials for any competing commercial purpose, or for any public display (commercial or non-commercial);

Attempt to decompile or reverse engineer any software contained on ELITE's web site;

Remove any copyright or other proprietary notations from the materials; or transfer the materials to another person or "mirror" the materials on any other server.

Share discount details or vendor information with any buying group, group purchasing organization, or similar business entity.

Revisions and Errata. The materials appearing on ELITE’s website could include technical, typographical, or photographic errors. ELITE does not warrant that any of the materials on its website are accurate, complete, or current. ELITE may make changes to the materials contained on its web site at any time without notice. ELITE does not, however, make any commitment to update the materials.
Links. ELITE’s Site may contain links to other websites of interest. However, once you have used these links to leave ELITE’s Site, we do not have control over that other website, and cannot be responsible for the protection and privacy of any information which you provide while visiting such other sites. ELITE has reviewed each site that is linked to its website, but the content on linked sites is the sole responsibility of the entity that makes it available, and not ELITE. The inclusion of any link does not imply endorsement by ELITE of the site. Use of any such linked website is at the user's own risk.
Site Terms and Modifications. ELITE may revise this Member Agreement at any time without notice. By logging into the member area of this website Members are agreeing to be bound by the then current version of this Member Agreement.
Final Agreement. By use of this Site, ELITE and Member agree that this Member Agreement contains all of the final terms and conditions agreed between the parties and such Member Agreement supersedes all prior offers and agreements, whether in writing or oral, between ELITE and Member.

ELITE DENTAL ALLIANCE PRIVACY POLICY

This Privacy Policy governs the manner in which Elite Dental Alliance (“ELITE”) collects, uses, maintains and discloses information collected on the website www.EliteDentalAlliance.com (the “Site”) and other collection mediums. ELITE is the sole owner of the information collected on the Site. This privacy policy applies to the Site and all services offered by ELITE.

WHAT INFORMATION WE COLLECT

ELITE may collect personal information from Members in a variety of ways, including, but not limited to, when Members visit the Site, subscribe to the newsletter, respond to a survey, fill out a form, and in connection with other activities, services, features or resources we make available on the Site. ELITE may occasionally provide suppliers with Member contact information as necessary to permit suppliers to provide you with pertinent information regarding normal business activities.

ELITE also reserves the right to share member purchase and contact information with Related Entities (see “Related Entities”) and Strategic Vendors (see "Strategic Vendors") for the purpose of marketing additional services offered by these related entities.

Any communication or material transmitted to ELITE by electronic mail or otherwise, including any data, questions, comments, suggestions, etc., is, and will be treated as, non-confidential and non-proprietary.

In order to better serve our members and understand market demands, suppliers will disclose member purchase data to ELITE. This data will also be used to calculate rebates, payments, and any other value that is deemed necessary by ELITE.

ELITE collects credit card information for the purpose of membership fee payments.

HOW WE USE COLLECTED INFORMATION

ELITE will not sell any information (submitted or collected) for any reason, but may collect and use personal information for the following purposes:

To improve customer service: Information provided helps ELITE respond to customer service requests and support needs more efficiently.

Credit card information is used to process payments for initial membership and annual renewal fees. Member credit card data will not be disclosed or shared to any party other than the companies processing applicable credit card payments.

To personalize user experience.

To understand how Members use the services and resources provided.

To improve services.

To run a promotion, contest, survey or Site feature.

To send information about topics of interest.

To distribute vendor information and promotions.

To send periodic emails: ELITE may use email addresses to send information and updates pertaining to activity. It may also be used to respond to inquiries, questions, and/or other requests. If a Member opts-in to our mailing list, they will receive emails that may include company news, updates, related product or service information, etc. If at any time a Member would like to unsubscribe from receiving future emails other than ELITE required notices, this can be done by using the unsubscribe instructions at the bottom of each email.

HOW WE PROTECT COLLECTED INFORMATION

There are many layers of security for the Site. First, the site is hosted at Dentalfone on a PCI compliant server. The server is scanned regularly to meet and exceed the PCI compliance standards requirement. This is a very high standard of security to ensure the servers are as secure as they can possibly be. The data is stored in a secure data center facility and long-term backups (for extreme disaster recovery situations) are stored offsite on encrypted hard disks.

Aside from server security, there are other measures taken on the Site itself. For example, additional security plugins are installed to block hackers and provide additional levels of protection. Dentalfone offers malware prevention, detection, and clean-up. The Site will be scanned approximately every 10 minutes, both on the server side and Site side. If any malware is detected, Dentalfone will be notified immediately and remove it from the Site.

PRIVACY POLICY CHANGES AND ACCEPTANCE

ELITE’s Privacy Policy may change from time to time as ELITE has the right to unilaterally modify same at any time. When changes are made, ELITE will revise the updated date at the bottom of this page and email all Members via the email provided on the application. Member use of the Site constitutes acceptance of all changes to the Privacy Policy. We encourage Members to frequently check this page for any changes to stay informed about how we are helping to protect the information we collect. Members acknowledge and agree that it is their responsibility to review the Privacy Policy periodically and become aware of changes. If any Member does not agree with changes, they should not use the Site.

RELATED ENTITIES

For the purpose of this document, a Related Entity of ELITE includes: Cain, Watters & Associates, PLLC; National Dental Placements, LLC and Tectonic Advisors LLC.

STRATEGIC VENDORS

For the purpose of this document, a Strategic Vendor of ELITE includes: Benco Dental Supply Co.
